These Terms of Use ("Terms") govern your access to and use of the Tradeways platform, website, software, applications and related services ("Platform") operated by Tradeways Technologies Ltd, trading as "Tradeways".
By creating an account, starting a trial, purchasing a subscription, or using the Platform, you agree to these Terms.
1. Access to the Platform
Tradeways provides users with access to a cloud-based software platform designed to support construction, design, supply and installation businesses.
You rent access to the Platform. You do not own the Platform, software, systems, branding, source code, infrastructure, or intellectual property.
Your subscription grants a limited, non-transferable, revocable licence to use the Platform in accordance with these Terms.
2. Subscription Terms
Following completion of Beta testing phases, eligible users may receive a 14-day free trial. Unless cancelled before the trial ends, your selected subscription will automatically begin and payment will become due.
All paid subscriptions require an initial 12-month minimum commitment. After the initial 12-month term, subscriptions may continue on a rolling monthly basis by agreement, or renew for a further fixed term.
Subscriptions renew automatically unless cancelled in writing before the renewal date. You authorise recurring payments for the duration of your subscription.
We may change pricing, modify features, introduce or remove services, amend subscription tiers, or alter add-ons at any time. Reasonable notice will be provided where possible.
Users may upgrade, downgrade, or purchase add-ons subject to platform availability and billing adjustments. Downgrading may result in loss of access to certain features or stored data linked to those features.
3. Refund Policy
Tradeways provides access to digital software services. By purchasing a subscription, you acknowledge and agree that you are purchasing access to a service, it is your responsibility to use the service provided, and subscription fees are non-refundable.
To the maximum extent permitted by UK law, no refunds, partial refunds, goodwill refunds, or credits will be issued for unused time, lack of usage, change of circumstances, business performance, staff changes, user error, dissatisfaction, or failure to cancel before renewal.
Nothing in these Terms excludes any rights which cannot legally be excluded under applicable UK law.
4. User Responsibilities
You are solely responsible for your business operations, legal compliance, tax obligations, accounting accuracy, quotations, invoices, employment obligations, communications, and all data entered into the Platform.
Tradeways does not provide legal, accounting, financial, employment, insurance, or regulatory advice.
You remain fully responsible for ensuring your business complies with UK laws, HMRC requirements, GDPR obligations, health and safety regulations, building regulations, and all industry-specific compliance obligations.
5. Data & Backups
You retain ownership of the data you upload to the Platform.
You are responsible for maintaining your own backups, exporting important records, and retaining copies of critical business information.
While we aim to maintain reliable systems, we do not guarantee uninterrupted availability, permanent storage, or error-free operation.
6. Integrations & Third-Party Services
Tradeways may integrate with third-party systems, including payment providers, accounting software, calendars, communications tools, or external platforms.
We do not control third-party providers. If integrations fail, change, become unavailable, or cause disruption, Tradeways accepts no liability for resulting losses, interruptions, errors, or damages.
Use of third-party integrations is at your own risk.
7. Platform Availability
We aim to provide reliable service and customer support; however, we do not guarantee uninterrupted access, continuous uptime, compatibility with all devices, or error-free functionality.
Maintenance, updates, outages, cyber incidents, hosting failures, or technical issues may temporarily affect access.
8. Customer Support
We will provide customer support and assistance as reasonably possible during normal operating hours.
Response times are not guaranteed, solutions may not always be immediate, and support availability may vary depending on subscription level, demand, and operational capacity.
9. Suspension & Termination
We reserve the right to suspend, restrict, or terminate access to the Platform immediately if these Terms are breached, payment is overdue, misuse is suspected, unlawful activity is identified, abusive behaviour occurs, or platform security or integrity may be affected.
Termination does not remove your obligation to pay outstanding fees owed under your subscription agreement.
10. Limitation of Liability
To the fullest extent permitted by UK law, Tradeways shall not be liable for loss of profits, loss of revenue, loss of business, loss of contracts, data loss, downtime, business interruption, reputational damage, indirect losses, or consequential damages arising from use of the Platform.
We are not responsible for your business success, profitability, customer acquisition, project outcomes, or operational performance.
Our total liability relating to the Platform shall not exceed the total subscription fees paid by you to Tradeways within the previous 3 months preceding the claim.
11. Intellectual Property
All Tradeways branding, systems, software, graphics, workflows, content, and platform functionality remain the exclusive intellectual property of Tradeways unless otherwise stated.
Users may not copy, reverse engineer, resell, distribute, or commercially exploit the Platform without written permission.
12. Changes to These Terms
We may update these Terms from time to time. Continued use of the Platform after updates constitutes acceptance of the revised Terms.
13. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
